TERMS OF SERVICE

2.1. Strict Age Requirements:

• Artists: You must be at least 18 years of age to upload content, purchase Credits, or create an Artist profile. By submitting content, you represent that you meet this age requirement and possess full legal capacity to enter into licensing agreements.
• Fans: You must be at least 16 years of age to interact with the platform. Users under 18 require verifiable parental consent.

2.2. Account Accuracy:

You agree to provide true, accurate, and complete information. Business customers must provide company registration details for invoicing purposes.

2.3. License Verification Requirement:

All Artists uploading AI-generated content must complete license verification before content goes live. This includes:

• Suno Content: Active Pro or Premier subscription verification required (Free Plan uploads strictly prohibited)
• Udio Content: Paid subscription verification required
• Other AI Tools: Proof of commercial license or subscription tier permitting public distribution

We reserve the right to request screenshot verification, API token validation, or other proof of license status at any time. Failure to provide verification within 72 hours results in content removal.

3.1. Credit System Nature:

Credits are virtual tokens representing prepaid platform services only. They are used for:

• Technical processing of uploads (Audio Submissions)
• Expedited review services (Express Review)
• Promotional features within the Dashboard (Featured Track placements)

Credits are non-transferable, non-exchangeable for fiat currency, and represent service access rights only. They do not constitute virtual currency, securities, or investment instruments.

3.2. No Chart Influence:

Credits do not and cannot influence chart rankings, algorithmic scoring, or the KAIDRON TV Score. Chart qualification depends solely on organic community engagement (Sandbox votes, plays, listener behavior) independent of Credit purchase. Dashboard promotional features are clearly labeled as "Promoted" or "Featured."

3.3. Tax Treatment – Small Business Regulation (§ 19 UStG)

KAIDRON TV operates as a small business (Kleinunternehmer) under Section 19 (1) of the German Value Added Tax Act (UStG).

Accordingly:

• No VAT (MwSt) is charged or stated on invoices.
• All displayed prices are final prices.
• No reverse charge mechanism applies.
• Business customers are not entitled to reclaim VAT, as no VAT is charged.

This tax treatment applies to all customers worldwide (B2C and B2B), regardless of their country of residence.

3.4. Refund Policy:

Credits are non-refundable except where required by law. However, if Express Review (24h) is not completed within the guaranteed timeframe, the Express fee (5 Credits) will be refunded to the account.

4.1. Editorial Rights:

While chart rankings are primarily determined by mathematical algorithms (KAIDRON TV Score), we reserve the sole editorial discretion to:

• Remove content from charts that violates community guidelines, regardless of vote count or algorithmic ranking
• Adjust eligibility criteria as AI copyright law and industry standards evolve
• Decline Sandbox entries that do not meet quality thresholds (Low-Effort Filter)
• Apply "Shadow Ban" status (content remains visible but excluded from charts) for suspected manipulation
• Remove content lacking verified AI tool licenses or violating provider terms of service

4.2. Review Timeframes:

• Standard Submission: Review within 72 hours of submission
• Express Review: Review within 24 hours (business days)
• YouTube Embeds: Subject to editorial review for license compliance verification (no automatic approval)

4.3. Shadow Ban Appeal Process:

Artists may appeal Shadow Ban status within 14 days of notification via dashboard appeal form. Appeals reviewed within 7 business days. Second appeals require new evidence. Final determination rests with editorial team.

5.1. Evolving Legal Standards & Current Compliance:

Copyright law regarding AI-generated music is rapidly evolving globally. You acknowledge that:

• Standards are unsettled and vary significantly by jurisdiction (e.g., US Copyright Office generally denies registration for purely AI-generated works)
• We reserve the right to remove content that violates future legal interpretations or current third-party license terms
• AI service providers (Suno, Udio, etc.) retain varying rights in generated outputs regardless of user subscription tier
• Your "ownership" of AI-generated content may be limited or unrecognized in certain jurisdictions

5.2. Strict License Verification (Suno-Specific):

• Suno Free Plan: Uploads strictly prohibited. Free Plan users lack commercial rights and public distribution licenses.
• Suno Pro/Premier: Upload permitted only with active subscription verification. You acknowledge that Suno retains ownership of generated outputs and grants you limited commercial usage rights only.

5.3. Representations:

You represent and warrant that:

• You hold verifiable commercial licenses from AI service providers permitting public distribution on third-party platforms
• You are the sole creator of prompts or have acquired rights to them
• You are 18+ and have authority to license the content
• Content does not contain unauthorized voice clones or deepfakes (Section 6)
• You have reviewed and comply with current AI provider Terms of Service
• You understand that AI-generated content may not be eligible for copyright protection in your jurisdiction

PRO & Society Clearance: You represent and warrant that the uploaded content, including any self-composed music or lyrics, is NOT currently registered, administered, or protected by any Performing Rights Organization (PRO) or collecting society globally (including, but not limited to, GEMA, GVL, ASCAP, BMI, SIAE, CISAC). You certify that you hold the unencumbered rights to publicly stream and broadcast this specific version of the work across all platforms, independent of any third-party claim.

5.4. License Grant - Limited Authority Acknowledgment:

You grant KAIDRON TV a worldwide, non-exclusive, royalty-free license to host, stream, display, and promote your content across our platforms and marketing channels, subject to the following limitations:

• You represent that you have legal authority to grant these rights, including confirmation from AI service providers that your subscription tier permits third-party platform distribution
• You acknowledge that AI service providers may retain underlying rights to generated outputs that limit your licensing authority
• If your AI provider license expires, terminates, or is revoked, you must immediately notify us and remove affected content
• We reserve the right to suspend content if AI provider license status cannot be verified

5.5. No Copyright Guarantee:

We do not guarantee that any content uploaded to our platform is eligible for copyright protection. You upload at your own risk regarding third-party copying, as AI-generated works may lack copyright protection in many jurisdictions.

7.1. Strict Prohibition:

Artificial inflation of metrics is strictly forbidden, including:

• Bot networks, click farms, or automated play scripts
• Purchase of plays/votes from third-party services
• Multiple account creation ("sock puppets") for self-voting
• Coordinated voting rings (brigading)

7.2. Enforcement:

Violations result in:

• Level 1: Content removal + Warning
• Level 2: Shadow Ban (visible but unranked) + Temporary suspension (30 days)
• Level 3: Permanent account termination + IP block
• Retroactive: Revocation of Neural Certifications earned through fraud

8.1. Designated Agent:

DMCA notices must include: Physical/electronic signature, identification of copyrighted work, specific URL on our platform, contact information, good-faith belief statement, accuracy statement under penalty of perjury.

8.3. Takedown Procedure:

Upon receipt of valid DMCA notice:

• Content removed within 48 hours (business days)
• Uploader notified via email with notice details (redacted)
• Counter-notice option provided with 10-14 business day response window
• If no counter-notice filed, content remains removed
• Repeat infringers (3+ valid notices) subject to account termination

8.4. Counter-Notice Procedure:

If you believe content was removed in error, you may submit a counter-notice containing:

• Physical or electronic signature
• Identification of removed material and location before removal
• Statement under penalty of perjury regarding good-faith belief of mistaken removal or misidentification
• Your name, address, telephone number, email address
• Statement consenting to jurisdiction of Federal District Court for the judicial district where you reside (or Munich/Starnberg district if outside Germany)
• Statement accepting service of process from the complaining party

Counter-Notice Timeline:

• Counter-notice must be filed within 14 business days of removal notification
• We forward counter-notice to original complainant within 48 hours
• Complainant has 10-14 business days to file court action seeking restraining order
• If no court action filed, content may be reinstated at our discretion after 14 business days
• We notify parties of reinstatement decision

8.5. No Adjudication:

Submission of DMCA notice does not guarantee removal. We do not adjudicate ownership disputes or determine legal liability beyond removing access to disputed material when properly notified. We are not responsible for disputes between users and third-party claimants.

8.6. Repeat Infringer Policy:

Users receiving 3 or more valid DMCA notices are designated "Repeat Infringers" and subject to permanent account termination. Notices deemed invalid or counter-noticed successfully do not count toward this threshold.

9.1. As-Is Basis:

Services provided without warranties. We do not guarantee:

• Specific chart rankings or play counts
• Commercial success or viral outcomes
• Continuous availability of service
• Accuracy of AI-generated content metadata
• Copyright protection or eligibility for any uploaded content

9.2. AI Content Specific Disclaimer:

We expressly disclaim liability for:

• Copyright status of AI-generated content
• Validity of user representations regarding AI tool licenses
• Actions of AI service providers (Suno, Udio, etc.) affecting user rights
• Legal changes affecting AI-generated content status
• Third-party copying of non-copyrightable AI-generated works

9.3. No Professional Advice:

Content on platform does not constitute legal, financial, or professional advice regarding AI IP rights. Consult qualified legal counsel for jurisdiction-specific guidance.

9.4. Indemnification for Intellectual Property Claims:

You agree to indemnify, defend, and hold harmless KAIDRON TV, its owners, affiliates, and employees, from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in any way connected with any breach of the warranties in Section 5.3 (Representations), specifically relating to unlicensed copyrights, PRO claims (including GEMA/GVL), or violations of third-party licensing agreements.
